Position Description:

Halton Healthcare is looking for a lawyer to serve as in-house Legal Counsel & Privacy Officer supporting our Senior Management Team. Aligned with the strategic direction of Halton Healthcare and in support of the accountabilities of the organization, this role will provide legal counsel and advice in the area of corporate & commercial matters to our leadership, staff and clinicians as well as support Halton Healthcare’s role as a corporate partner and leader in healthcare.  

Key Accountabilities:

Legal Counsel

  • Support the organization in assuring Halton Healthcare meets its statutory and legal responsibilities.
  • Provide input and advice to senior management on corporate & commercial matters including but not limited to contracts, leasing, procurement, partnerships, licensing, copyright, commercial ventures.
  • Support Halton Healthcare in its partnerships through the provision of sound, reasonable and practical legal advice.
  • Negotiate contracts on behalf of the organization with vendors, partners, affiliates and other institutions in order to ensure optimal value for Halton Healthcare and its programs.
  • Assess the feasibility of potential contracts or partnerships, providing and coordinating legal advice as appropriate.
  • Review all agreements with respect to issues related to potential risk, insurance, intellectual property, and legal liability of Halton Healthcare and other issues related to the fulfillment of obligations.
  • Advise and assist stakeholders in defining circumstances where a contract is required, the type of contract and budgetary implications.
  • Monitor the effectiveness of contract performance and review contracts for renewal under favourable terms.
  • Assist in the negotiating, drafting and renewing Halton Healthcare’s leasing agreements.
  • Provide counsel the organization’s procurement practices and assist in policy and protocol development to ensure compliance with relevant directives and laws.
  • Support Halton Healthcare Program and Function Leaders to resolve contractual issues and protect the interests of the organization.
  • Create and attract partnerships and contracts that will contribute to maximized revenue and income potential.
  • Support staff in the development, negotiation and drafting of contracts, partnerships and affiliations.
  • Provide recommendations as it relates to strategies, policies and programs that enable Halton Healthcare to work effectively internally and, where appropriate, with external stakeholders.
  • Monitor legal developments, issues, trends and policies across corporate legal sectors, providing input and insights into appropriate organizational policy directions.
  • Retain outside counsel when necessary to support and/or monitor work as required.
  • Represent Halton Healthcare at external events/functions (conferences, courses, symposiums, meetings) where appropriate.
  • Participate as a member on internal and external committees related to governance, risk and liability.
  • Participate in legal training and educational activities internally and externally as required to foster understanding and maintain best practices.

Privacy Officer

  • Accountable for corporate privacy, including all functions, policies and procedures in compliance with federal and provincial laws. This includes the Personal Health Information Protection Act (PHIPA) and Access to Information Act
  • Remain current and advise on legislation changes and implementation, including liaising with provincial agencies and institutions
  • Manage Privacy and Freedom of Information (FOI) matters related to Hospital operations, including breach management, investigating privacy inquiries and/or complaints
  • Oversee privacy training and orientation to all employees, volunteers, medical and professional staff, contractors, alliances, business associates, and other appropriate third parties
  • Maintain alignment between security and privacy practices, and acts as a liaison to the Information and Communications Technology department
  • Keep up to date on emerging trends and practices related to information privacy, implements best practices and innovative privacy solutions
  • Maintain an understanding of privacy and data governance risks, including ongoing assessments such as privacy impact assessments and threat risk analysis
  • Serve as a subject matter expert to Departments, Medical Staff Office and the Senior Team in areas related to confidentiality, privacy, FOI, legislative changes, etc.

Candidate Profile:

  • Member in good standing of the Ontario bar.
  • Minimum of 5 years legal experience in the area of contract law, commercial law, intellectual property law, privacy law, licensing and confidentiality agreements.
  • Experience in negotiating various agreements such as contracts, affiliation agreements, corporate-commercial ventures, leasing agreements and confidentiality agreements.
  • Knowledge of regulatory requirements, guidelines and law that are applicable to the corporate-commercial law applied to the public sector; specifically, hospitals.
  • Experience in the public sector; specifically healthcare an asset.
  • Highly developed communication, both oral and written.
  • Demonstrated experience in building key stakeholder relationships.
  • Demonstrated ability to think and plan strategically
  • Demonstrated knowledge of hospital policies, procedures and protocols
  • Demonstrated knowledge of applicable legislation
  • Fairness, openness, patience and a high level of integrity
  • Highly developed verbal and written communication skills
  • Excellent organizational and time management skills required to handle competing priorities/deadlines
  • Excellent analytical and problem-solving skills
  • Demonstrated ability to be fair, objective and handle situations with tact and diplomacy
