Job Description

Reporting to the President & CEO, this role is responsible for providing governance support to the President & CEO, to the Board Chair, Board of Directors (BOD), and all committees of the Board. A major function of this role is to be forward thinking and to be constantly reviewing and prioritizing governance matters, managing relevant types of information and then independently providing the necessary follow-up and communications to such matters on behalf of President & CEO, Board Chair and BOD.

As the Governance Support and Board Liaison, you will represent the interests of the President & CEO, Board Chair, BOD and organization and communicate in a compelling manner to influence and persuade internal and external stakeholders and customers at all levels in a professional and respectful manner.

Specific responsibilities include, but are not limited to:

  • Represent the interests of the President & CEO in governance matters pertaining to the Board and its committees utilizing strong communication and persuasion abilities and an understanding of stakeholder needs while managing the relationships.
  • Assists in the Board budget development and prepares reports to the Board related to the budget, ensuring information is current and accurately compiled, monitors expenditures, ensures invoices are authorized, analysed, and reports variances.
  • Facilitate effective triaging of queries and sensitive issues on all matters pertaining to the Board and its committees, determines appropriate action and provides appropriate response in a timely manner, escalating and redirecting as appropriate.
  • Develops and drafts well-designed and accurate briefing notes, Board policies, reports, correspondence, memos and spreadsheets and corporate materials.
  • Utilizes project management and event planning expertise in the coordination of, participation in, and leading committees or special initiatives and events, as required.
  • Provides executive governance support to the Board Chair, BOD, and President & CEO to ensure the efficient administration and operation of the Board and its committees, including Board and Committee meeting agendas, work plans and minutes, as well as managing telephone inquiries, maintaining filing systems, Board expense reports, administrative duties, preparing presentations and spreadsheets, and maintaining the Board policies and manual in conjunction with the Board.
  • In collaboration with the Board Chair, and the President & CEO, organizes the Annual General Meeting, Board retreats, annual orientation sessions and other Board events.
  • Designs and coordinates continuing education for Board members under the direction from the Board Chair and CEO and in collaboration with the Senior Leadership Team.
  • Coordinates Board involvement in the Accreditation process and supports governance quality and process improvement initiatives.
  • Ensures all meeting materials are aligned with established procedures for the BOD as outlined in the Governance & Nominating Committee Plan and consults with BOD Standing Committees Executive Lead to ensure the agendas, minutes, supporting materials and processes are carried out, meeting the expectations of the BOD.
  • Carries out any other appropriate duties and responsibilities as may be assigned by the Board Chair, BOD, a BOD Committee, in consultation with the President & CEO.
  • Provides governance leadership and expertise to the Board and its Committees.
  • Considers safety of self and co-workers while performing work.
  • Performs other duties as assigned.


  • Completion of relevant post-secondary degree and/or three (3) to five (5) years senior executive support and office management experience, including significant governance knowledge and expertise to support the Board of Directors in a not-for-profit organization. 
  • Knowledge of the Corporations Act and the Hospitals' Act as it relates to the Hospital's BOD and thorough understanding of By-Laws (including Medical By-Laws), policies, formal meeting procedures and governance is required. 
  • Exceptional ability to maintain a professional outlook, while handling numerous tasks in a highly demanding, constantly-changing environment.
  • Excellent verbal and written communication skills in support of and representative of the needs of the President & CEO, Board Chair and BOD and the organization.
  • Excellent judgement, tact, and political acumen and discretion in preparing, disclosing and handling information of a confidential and/or sensitive nature.
  • Proven time management skills with the ability to prioritize assignments in a manner that optimizes departmental effectiveness and contributes to organizational success.
  • Advanced skills in business writing, oral communication and minute-taking combined with proficient computer and keyboarding skills including Microsoft Windows, Outlook, Excel, Word, Access, PowerPoint, MS Project, FrontPage, Internet Explorer; skilled electronic filing and content management.
